1. Acceptance of Terms Welcome to The Play (“Company,” “we,” “us,” or “our”). By accessing our website, purchasing a membership subscription, accessing our private Discord server, or purchasing tickets to our physical events (collectively, the “Services”), you (“User,” “Member,” or “you”) agree to be bound by these Terms of Service (“Terms”) and our Privacy Policy.
IF YOU DO NOT AGREE TO THESE TERMS, OR IF YOU ARE UNDER THE AGE OF 21, YOU MUST IMMEDIATELY CEASE USE OF THE SERVICES.
2. Eligibility & Strict Age Verification (21+) WARNING: ADULT CONTENT & AGE RESTRICTION.
2.1 Age Requirement: You must be at least twenty-one (21) years of age to access the Services. By using the Services, you warrant that you are 21+ and have the legal capacity to enter into a binding contract.
2.2 Aiding Minors: It is a violation of these Terms to allow any individual under 21 to view your screen while accessing the Services, or to purchase tickets/access on behalf of a minor.
2.3 Verification: We reserve the right to request valid government-issued photo identification at any time—digitally or in person—to verify your age and identity.
2.4 Zero Tolerance for Age Misrepresentation: If we discover you are under 21 or have misrepresented your age:
Your account will be terminated immediately.
You will be permanently banned.
NO REFUNDS will be issued.
We reserve the right to report you to relevant legal authorities.
3. Account Registration, Security & Confidentiality 3.1 Account Creation: You must provide accurate, current, and complete information. You agree to update this information strictly to keep it current.
3.2 Security: You are responsible for safeguarding your login credentials. You are solely responsible for all activity on your account.
3.3 Non-Transferability: Your account is personal. Selling, trading, or sharing your account login is strictly prohibited.
3.4 Confidentiality (“The Vault Rule”):
Strict Privacy: You acknowledge that “The Play” is a private community relying on discretion.
Prohibition: You agree NOT to share, screenshot, record, scrape, or distribute any content, conversations, member identities, or media found within the private Discord or member portal to any third party or public platform.
Legal Consequences (Doxing): You acknowledge that sharing private member information (“doxing”) may violate California Civil Code § 1708.89, subjecting you to statutory damages of up to $30,000, in addition to other legal remedies.
Injunctive Relief: You agree that a breach of this section causes irreparable harm, entitling the Company to immediate injunctive relief (a court order stopping you) without the need to post a bond.
4. Subscription, Billing & Financial Policy 4.1 Recurring Membership: By purchasing a membership, you authorize us to charge your payment method on a recurring basis (e.g., monthly, quarterly, or annually) at the then-current rate.
4.2 Automatic Renewal: Subscriptions automatically renew at the end of each billing cycle unless cancelled.
4.3 Cancellation (Click-to-Cancel):
Online: You may cancel your subscription at any time via your “Account Settings” page on the website.
Email: You may also cancel by emailing concierge@theplay.la, though we recommend the online method for immediate processing.
Effect: Cancellation stops future billing. You retain access until the current billing period ends.
4.4 NO REFUNDS – ALL SALES FINAL:
TO THE FULLEST EXTENT PERMITTED BY LAW, ALL PURCHASES (SUBSCRIPTIONS AND TICKETS) ARE NON-REFUNDABLE.
We do not offer pro-rated refunds for cancellations mid-cycle or for “unused” time.
Termination for violation of Terms results in forfeiture of any remaining subscription time without refund.
4.5 Chargebacks & Payment Disputes:
If you initiate a chargeback or payment dispute for a valid charge, your account will be immediately and permanently banned.
We reserve the right to dispute the chargeback by providing evidence of your agreement to these Terms.
Outstanding Debt: Termination does not relieve you of the obligation to pay for fees incurred prior to termination. We may pursue collection of unpaid debts.
5. Discord Access & Digital Conduct 5.1 Revocable License: Access to the Discord server is a privilege, not a right, and may be revoked at our sole discretion.
5.2 Community Code of Conduct: You strictly agree NOT to:
Harass, bully, shame, or intimidate other members.
“Dox” (share personal/private info) of any member or staff.
Share illegal content (including non-consensual sexual content).
Solicit commercial services or spam without authorization.
Direct Message (DM) members without their prior consent.
5.3 Limitation of Liability for Member Interactions:
The Play is not responsible for the conduct of any user on or off the Service.
The Company disclaims all liability for any interactions, relationships, or encounters that occur between members outside of official, Company-hosted events.
6. Event Ticketing, Safety & Physical Attendance 6.1 Revocable License: We reserve the right to deny admission or eject any person whose conduct is disorderly, intoxicated, or violates our rules.
6.2 ID Matching: The name on the ticket must match the government-issued ID presented at the door.
6.3 Search Policy: You agree to submit to a search of your person and belongings (e.g., bags) upon entry. Refusal to submit to a search will result in denial of entry without refund.
6.4 Responsible Consumption: We reserve the right to deny service or entry to anyone who appears intoxicated.
6.5 Event Conduct (Consent is Mandatory):
Consent: “No” means No. “Maybe” means No. Silence means No. Only enthusiastic, verbal “Yes” means Yes. Touching, photographing, or recording others without explicit consent is grounds for immediate ejection and permanent ban.
Privacy: Photography/Videography is strictly prohibited unless explicitly authorized by the venue.
6.6 Force Majeure: The Play is not liable for failure to perform obligations (including holding events) due to causes beyond reasonable control (e.g., acts of God, pandemics, government lockdowns).
6.7 Assumption of Risk & Waiver of Liability:
You acknowledge that events may involve adult themes, loud music, alcohol, and social interaction. You voluntarily assume all risks, including risks of physical injury, emotional distress, illness, or property damage.
TO THE FULLEST EXTENT PERMITTED BY LAW, YOU RELEASE, WAIVE, AND DISCHARGE THE PLAY FROM ANY LIABILITY FOR ORDINARY NEGLIGENCE RELATED TO YOUR ATTENDANCE.
7. Adult Content Acknowledgement You acknowledge the Services contain sexually explicit material and adult themes. You represent that: (a) You are not offended by such material; (b) You access it voluntarily; and (c) It is legal for you to view such content in your jurisdiction.
8. Intellectual Property All content provided by The Play (logos, branding, software) is our property. You may not copy, sell, or exploit our IP without written permission.
9. Indemnification You agree to indemnify and hold harmless The Play and its affiliates from any claims, damages, or expenses (including attorney’s fees) arising out of your use of the Services, your violation of these Terms, or your violation of the rights of another member.
10. Dispute Resolution: Binding Arbitration & Class Action Waiver 10.1 Mandatory Arbitration: Any dispute arising out of these Terms shall be settled by binding arbitration via the American Arbitration Association (AAA) in Los Angeles County, California.
10.2 Small Claims Option: Either party may choose to pursue a claim in Small Claims Court if the claim qualifies.
10.3 Class Action Waiver: You waive the right to participate in a class action lawsuit.
10.4 Exception for Sexual Misconduct: Notwithstanding the above, claims alleging sexual assault or sexual harassment as defined by the Ending Forced Arbitration of Sexual Assault and Sexual Harassment Act of 2021 may be brought in a court of competent jurisdiction.
11. Governing Law These Terms are governed by the laws of the State of California. Subject to the arbitration clause, you submit to the exclusive jurisdiction of the state and federal courts in Los Angeles County, CA.
12. California Consumer Notice Under California Civil Code Section 1789.3, users are entitled to the following notice: The Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs may be contacted at 1625 North Market Blvd., Sacramento, CA 95834 or by telephone at (800) 952-5210.
13. Severability & Entire Agreement If any provision is invalid, the remaining provisions remain in effect. These Terms constitute the entire agreement regarding the Service.
14. Changes to Terms We reserve the right to modify these Terms at any time. Continued use of the Service after changes constitutes acceptance of the new Terms.
